Common use of JOINT AND SEVERAL RESPONSIBILITY Clause in Contracts

JOINT AND SEVERAL RESPONSIBILITY. The Company and Edgewater Delaware covenant and agree that the liability of each under this Agreement shall be primary, that the Company and Edgewater Delaware shall be jointly and severally liable for any and all obligations of each of the Company and Edgewater Delaware under this Agreement, and that in any right of action which shall accrue to Employee under this Agreement, Employee may, at Employee’s option, proceed against the Company and Edgewater Delaware, jointly or severally, and may proceed against either the Company or Edgewater Delaware without having commenced any action against or having obtained any judgment against the other.
