Issue Characteristics. There were issued 2,500,000 (two million and five hundred thousand) simple, unsecured debentures non-convertible into shares, in a single series, were issued for private placement, pursuant to the Indenture (as defined below), to be subscribed and paid in privately by the Debenture Holder ("Debentures"), with a unit par value of BRL 1,000.00 (one thousand Brazilian Reais), on July 15, 2022 ("Issue"), totaling BRL 2,500,000,000.00 (two billion five hundred million Brazilian Reais) ("Total Issue Amount").
