Common use of Investment Representations and Warranties Clause in Contracts

Investment Representations and Warranties. (a) The Shares, the Warrant and any Warrant Shares which are acquired by the Investor hereunder will be acquired by it hereunder for its own account, for investment and not with a view to the distribution thereof, nor with any present intention of distributing the same. The Investor further understands the transfer restrictions on the Shares, the Warrant and the Warrant Shares hereof in the event the Investor desires to transfer any of its Shares, the Warrant or any Warrant Shares.
