Common use of Invalidity of a Provision Clause in Contracts

Invalidity of a Provision. If any provision of the Agreement is held invalid or unenforceable by a court of competent jurisdiction, for any reason, but would be valid and enforceable if appropriately modified, then such provision will thereupon apply with the modification necessary to make it valid and enforceable. If such provision cannot be so modified, such invalidity will not affect the validity of the remaining provisions of the Agreement provided that the ability of the parties to perform their material obligations thereunder is not detrimentally affected.
