Introducer Fee. 7.1 Introducer Fees will be calculated for each Introduced Client and/or Introduced Open Account (as applicable) referred by an Introducer to any Site as specified in the Dedicated Introducer Section of the Site, as updated from time to time in Amana’s sole and absolute discretion.
7.2 Amana shall track Introduced Clients’ activity for the purpose of calculating the Introducer Fee and such information shall be available to the Introducer in the Dedicated Introducer Section. Unless otherwise agreed between the parties, the Introducer Fee shall be paid on a monthly basis in arrears in accordance with the information set forth in the relevant reports prepared by Amana, within thirty (30) calendar days after the end of each calendar month, after relevant deductions are made concerning transfer fees, bank charges and any other related expenses which will not be borne by Amana. If however the Introducer has reasons to dispute the payment of the Introducer Fee then explicitly must not accept payment of such Introducer Fee and inform Amana in writing within 30 days of payment of the reasons of dispute. Amana will be obligated to investigate the reasons of dispute and inform the Introducer in writing of its findings. Notwithstanding the above, will Amana pay to an Introducer an amount which at least more than US$ 250, and in the event that the Introducer’s balance at the end of a calendar month is less than US$ 250, such balance shall be carried over and added to the next month’s Introducer Fee respectively.
7.3 Introducer will be entitled to an Introducer Fee only when the Introduced Clients become qualified and are approved to be Amana’s clients. Amana reserves the right, in its sole and absolute discretion, to including without limitation, set any baseline, threshold, minimum deposits/earnings and/or other requirement(s) for qualifying to receive any Introducer Fee set out in this Agreement. Further Amana reserves the right to proceed at any time to any verifications and checks concerning all new Introduced Clients in accordance with the requirements of any applicable law and Amana ’s internal verification process.
7.4 Introducer Fee will only be paid for Introduced Clients and or Introduced Open Accounts that are tracked through the Amana’s online tracking system and indicate the Introducer’s website’s link as the source. We operate an automatic renewal process which means that we will automatically renew the policy on the expiration date unless you inform us not too, in order to ensure continuous cover, so if you do wish to renew with the product proposed you will not need to do anything. We will debit the card details used for original purchase or renew your direct debit up to 7 days after your renewal begins. You can opt out of our Automatic renewal feature at any time, however Dynamo Cover Limited will not be liable for costs or losses incurred due to a customer not renewing their cover. If we are unable to renew your policy, we will write to you 21 days before the expiration of the product and inform you of your final day of cover.
Introducer Fee. 10.1 We will credit or pay you the Introducer Fee in accordance with Applicable Laws and only for as long as we are able to do so according to Applicable Laws.
10.2 Any Introducer Fee due to you shall be the amount notified by us to you in writing. We reserve the right to change the rate of Introducer Fee in writing from time to time and will give you notice of such change.
10.3 We will be entitled to receive repayment of Introducer Fee paid out to you in the event of overpayment of Introducer Fee, non-entitlement to Introducer Fee or incorrect payment. In addition, Introducer Fee is repayable as a debt (whether demanded or not) in the following circumstances:
10.3.1 in full if any Business is cancelled in the regulatory or contractual cancellation period or cooling-off period;
10.3.2 in full or in part if you receive more Introducer Fee than you are due, repayment being the excess Introducer Fee amount;
10.3.3 in full or in part where you have been notified by us; and
10.3.4 in full or in part where Introducer Fee has been paid in circumstances where it should not have been paid under Applicable Laws.
10.4 You will remain liable at all times including after termination of this Agreement for debts and reclaims of Introducer Fee due to us.
10.5 We reserve the right to cease paying Introducer Fee to you in relation to any or all Introductions if we have concerns regarding the authority of a Representative, partner, director, principal, adviser, member or other representative of yours to represent you or to give us instructions.
10.6 The Introducer acknowledges that, for the avoidance of doubt, it is responsible for disclosing to each Customer the details of any payment of commission or fee, and/or any other reward or advantage, which the Introducer receives for introducing the Customer, as may be required by any Applicable Laws.
