Common use of Interpretive Principles Clause in Contracts

Interpretive Principles. For purposes of this Agreement, except as otherwise expressly provided or unless the context otherwise requires: (i) All Section, Article, Exhibit, and Schedule references used herein refer to Sections, Articles, Exhibits, and Schedules of this Agreement. The Schedules and Exhibits are a part of this Agreement. All Section, Article, Exhibit and Schedule headings used herein are for reference purposes only and shall not be deemed to have any substantive effect. (ii) Singular terms shall include the plural, and plural terms shall include the singular. (iii) Accounting terms not otherwise defined herein shall have the meanings assigned to them in accordance with generally accepted accounting principles. (iv) The words “herein,” “hereof,” “hereunder,” and other words of similar import refer to this Agreement as a whole and not to any particular provisions.
