Common use of Interdependencies Clause in Contracts

Interdependencies. The Parties acknowledge and agree that: (a) there may be interdependencies among the Services being provided under this Agreement; (b) upon the request of either Party, the Parties shall cooperate and act in good faith to determine whether (i) any such interdependencies exist with respect to the particular Service that a Party is seeking to terminate pursuant to Section 4.02 and (ii) in the case of such termination, the Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination of another Service; and (c) in the event that the Parties have determined that such interdependencies exist (and, in the case of such termination that the Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination), the Parties shall negotiate in good faith to amend Schedule 1 with respect to such termination of such impacted Service, which amendment shall be consistent with the terms of comparable Services. To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, the Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Service.

To , and (ii) if after such negotiation, the extent that the Provider’s ability Parties are unable to provide a Service is dependent agree on the continuation of a specified Servicesuch amendment, the Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Servicetermination.

To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, and (ii) if after such negotiation, the Parties are unable to agree on such amendment, Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Servicetermination.

Interdependencies. The Parties acknowledge and agree that: that (a) there may be interdependencies among the Services being provided under this Agreement; (b) upon the request of either Party, the Parties shall cooperate and act in good faith to determine whether (i) any such interdependencies exist with respect to the particular Service that a Party SpinCo is seeking to terminate pursuant to Section 4.02 5.02 and (ii) in the case of such termination, the ProviderParent’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination of another Service; and (c) in the event that the Parties have determined that such interdependencies exist (and, in the case of and such termination that the Providerwould materially and adversely affect Parent’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination)Agreement, the Parties shall (i) negotiate in good faith to amend Schedule 1 the Schedules hereto with respect to such termination of impacted Service prior to such impacted Servicetermination, which amendment shall be consistent with the terms of comparable Services. To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, and (ii) if after such negotiation, the ProviderParties are unable to agree on such amendment, Parent’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Servicetermination.

Interdependencies. The Parties acknowledge and agree that: that (a) there may be interdependencies among the Services being provided under this Agreement; (b) upon the request of either Party, the Parties shall cooperate and act in good faith to determine whether (i) any such interdependencies exist with respect to the particular Service that a Party is seeking to terminate pursuant to Section 4.02 5.02 and (ii) in the case of such termination, the Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination of another Service; and (c) in the event that if the Parties have determined that such interdependencies exist (and, in the case of such termination that the Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination), the Parties shall negotiate in good faith to amend Schedule 1 Exhibit A hereto with respect to such termination of such impacted Service, which amendment shall be consistent with the terms of comparable Services. To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, the Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Service.

The Parties acknowledge and agree that: (a) that there may be interdependencies among the Services being provided under this Agreement; (b) upon the request of either Party, the Parties shall cooperate and act in good faith to determine whether (i) any such interdependencies exist with respect to the particular Service that a Party Recipient is seeking to terminate pursuant to Section 4.02 4.2, and (ii) in the case of such termination, the Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination of another Service; and (c) in the event that the Parties have determined that such interdependencies exist (and, in the case of and such termination that the would materially and adversely affect Provider’s ability to provide a particular Service in accordance with this Agreement would be materially and adversely affected by such termination)Agreement, the Parties shall (i) negotiate in good faith to amend Schedule 1 the Schedules hereto with respect to such termination of impacted Service prior to such impacted Servicetermination, which amendment shall be consistent with the terms of comparable Services. To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, and (ii) if after such negotiation, the Parties are unable to agree on such amendment, Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Servicetermination.

To the extent that the Provider’s ability to provide a Service is dependent on the continuation of a specified Service, and (ii) if after such negotiation, the Parties are unable to agree on such amendment, Provider’s obligation to provide such dependent Service shall terminate automatically with the termination of such supporting Servicetermination.
