Interconnection Principles. 8.1. SCE shall design, engineer, procure, construct, install and own the Interconnection Facilities and System Facilities pursuant to Good Utility Practice and apply for and obtain any regulatory approvals necessary for the construction, operation and maintenance of the Interconnection Facilities and System Facilities. 8.2. Generator, at its sole expense, shall engineer, design, procure, construct, install and own the Project. 8.3. Generator shall connect the Project via the Tie-Line with SCE’s electrical system in accordance with (i) ISO, WECC and NERC criteria, and Good Utility Practice as applicable to the protection of the SCE transmission and distribution system, including, but not limited to, such considerations as protection equipment and appropriate communications facilities, and (ii) SCE specifications (which specifications have been provided to Generator prior to execution). 8.4. Generator shall acquire all permits and other approvals in addition to completing all environmental impact studies necessary for the construction, operation, and maintenance of the Project. Generator shall include the Interconnection Facilities in all such environmental impact studies. Generator shall provide the results of such studies and approvals to SCE for use in SCE’s application(s) to obtain any regulatory approvals required to be obtained by SCE for the construction, operation, and maintenance of the Interconnection Facilities. 8.5. At SCE’s request, Generator shall provide to SCE those electrical specifications and design drawings pertaining to the initial construction phase of the Project which may potentially have an impact on the SCE transmission and distribution system, as determined by SCE, for SCE’s review prior to finalizing the design and before beginning construction work based on such specifications and drawings. Generator shall provide to SCE reasonable advance written notice of any changes in the Project and provide to SCE specifications and design drawings of any such changes for SCE review and approval. Such approval shall not be unreasonably withheld. SCE may require modifications to such specifications and design drawings as it deems necessary to allow SCE to operate its electric system in accordance with Good Utility Practice. SCE shall make any such requests prior to September 30, 2001. 8.6. SCE shall have the right to review and consult with Generator regarding Generator’s construction schedule for the Project. SCE shall provide to Generator monthly updates of its construction schedule. 8.7. SCE shall have the right to inspect the Project prior to initial operation upon advance notice to Generator. Generator, at its option, may be present at such inspection. Subject to Section 8.3, SCE shall promptly notify the ISO when SCE has determined that the Project facilities which may potentially have an impact on the SCE transmission and distribution system have been constructed in accordance with the specifications and design drawings in accordance with Section 8.5 and that it is acceptable to energize the Project switchyard via the Interconnection Facilities and Tie-Line.

8.3. Generator has executed the Reliability Management System Agreement in the Form of Exhibit G.
