Intention of the Parties and Interpretation; Indemnification Clause Samples
The 'Intention of the Parties and Interpretation; Indemnification' clause serves to clarify how the contract should be understood and interpreted, as well as to establish the parties' agreement regarding responsibility for certain losses or liabilities. Typically, this clause states that the contract reflects the mutual intentions of the parties and should be interpreted in good faith, often specifying that ambiguities will not be construed against either party. Additionally, it outlines the circumstances under which one party must compensate the other for losses arising from breaches or specific events. The core function of this clause is to ensure that the contract is interpreted fairly and to allocate risk by providing a mechanism for indemnification, thereby reducing disputes over meaning and responsibility.
