Compensation to the Master Servicer Sample Clauses

Compensation to the Master Servicer. The Master Servicer shall be entitled to withdraw from the Collection Account, subject to Section 5.05, the Master Servicing Fee to the extent permitted by Section 4.02. Servicing compensation in the form of assumption fees, if any, late payment charges, as collected, if any, or otherwise (but not including any Prepayment Premium) shall be retained by the Master Servicer (or the applicable Servicer) and shall not be deposited in the Collection Account. If the Master Servicer does not retain or withdraw the Master Servicing Fee from the Collection Account as provided herein, the Master Servicer shall be entitled to direct the Trustee to pay the Master Servicing Fee to such Master Servicer by withdrawal from the Certificate Account to the extent that payments have been received with respect to the applicable Mortgage Loan. The Master Servicer shall be required to pay all expenses incurred by it in connection with its activities hereunder and shall not be entitled to reimbursement therefor except as provided in this Agreement. Pursuant to Section 4.01(e), all income and gain realized from any investment of funds in the Collection Account shall be for the benefit of the Master Servicer as compensation. The provisions of this Section 9.21 are subject to the provisions of Section 6.14.
Compensation to the Master Servicer. The Master Servicer shall be entitled to receive a monthly fee equal to the Master Servicing Fee, as compensation for services rendered by the Master Servicer under this Agreement. The Master Servicer also will be entitled to any late reporting fees paid by a Servicer pursuant to its Servicing Agreement, any investment income on funds on deposit in the Certificate Account and any Liquidation Profits to which a Servicer is not entitled under its Servicing Agreement.
Compensation to the Master Servicer. The Master Servicer shall be entitled to be paid by the Trust Fund, and either retain or withdraw from the Distribution Account, (i) its Master Servicing Fee with respect to each Distribution Date, (ii) amounts necessary to reimburse itself for any previously unreimbursed Advances, Servicer Advances and Nonrecoverable Advances in accordance with the definition of "Available Distribution Amount" and (iii) amounts representing assumption fees, late payment charges or other ancillary income not included in the definition of "Available Distribution Amount" and which are not required to be remitted by the Servicers to the Securities Administrator or deposited by the Securities Administrator into the Distribution Account. The Master Servicer shall be required to pay all expenses incurred by it in connection with its activities hereunder and shall not be entitled to reimbursement therefor except as provided in this Agreement. In addition, Depositor agrees, except as otherwise expressly provided herein, to reimburse the Master Servicer, upon its request, for all reasonable expenses, disbursements and advances incurred or made by the Master Servicer in connection with the performance of its duties hereunder (including the reasonable compensation and the expenses and disbursements of its agents and counsel), to the extent not otherwise reimbursed pursuant to this Agreement, except any such expense, disbursement or advance as may be attributable to its willful misfeasance, bad faith or negligence.
Compensation to the Master Servicer. The Master Servicer shall be entitled to the Master Servicing Fee on each Distribution Date from amounts on deposit in the Master Servicer Custodial Account. If, on any Distribution Date such fee is not distributed as provided herein, the Master Servicer shall be entitled to direct the Trustee to pay the Master Servicing Fee to the Master Servicer by withdrawal from the Distribution Account. The Master Servicer shall be entitled to deposit account earnings as provided in Section 3.5 as additional master servicing compensation.
Compensation to the Master Servicer. The Master Servicer shall be entitled to receive the Master Servicer Fee as compensation for services rendered by the Master Servicer under this Agreement. The Master Servicer shall pay itself such Master Servicer Fee monthly from amounts on deposit in the Certificate Account. The Master Servicer shall also be entitled to all income and gain net of any losses realized from Permitted Investments in the Certificate Account and the Distribution Account, as well as any amounts in respect of prepayment penalties or late payment charges.
Compensation to the Master Servicer. The Master Servicer shall be entitled to receive a monthly fee as compensation for services rendered by the Master Servicer under the Trust Agreement. The monthly Master Servicing Fee with respect to the Trust shall equal the amount set forth in the Trust Agreement, which may be retained by the Master Servicer when it remits funds from the Master Servicer Custodial Account to the Asset Proceeds Account. The Master Servicer also will be entitled, as additional compensation, to any late reporting fees paid by a Servicer pursuant to Section 450 of the Guide.
Compensation to the Master Servicer. As compensation for the services provided by the Master Servicer under the Master Servicing Agreement, the Master Servicer shall be entitled to receive as a monthly servicing fee in respect of each Mortgage Loan, payable from the Master Custodial P & I Account, an amount equal to the product of the "Master Servicing Fee Percentage" set forth in the Master Servicing Agreement multiplied by the outstanding principal amount of each Mortgage Loan determined as of the Due Date of the month prior to the month for which this fee is due, divided by 12. In return for its obligations under Section 6.04, the Master Servicer is entitled to receive as additional compensation, any interest earnings on the Master Custodial P & I Account, and any interest received on Liquidation principal that is received in the same month that such Liquidation principal is remitted to the Trustee. The Master Servicer is permitted to pay itself the monthly servicing fee within five Business Days after the Master Servicer has delivered to the Trustee the Monthly Remittance Report for such month; provided, however, that the Master Servicer shall not be entitled to receive any monthly servicing fee until the month during which the first Master Servicer Remittance Date occurs.
Compensation to the Master Servicer. The Master Servicer shall be entitled to be paid from the Trust Fund, and shall either retain or withdraw from the Distribution Account, (i) its Master Servicing Fee with respect to each Distribution Date, (ii) all amounts necessary to reimburse itself for any previously unreimbursed Advances and Nonrecoverable Advances in accordance with the definition of Available Distribution Amount and (iii) in accordance with the second paragraph of Section 9.01(b), the cost of any enforcement action taken by it under Section 9.01 hereof, including, without limitation, any costs incurred in connection with the termination of a Servicer or Five Oaks, the appointment of a successor servicer or successor owner of the servicing rights with respect to the Five Oaks MSR Mortgage Loans, as applicable, or the transfer and assumption of the servicing by the Master Servicer, which shall not be subject to the limitation set forth in clause (C) of the definition of Available Distribution Amount. The Master Servicer shall be required to pay all expenses incurred by it in connection with its activities hereunder and shall not be entitled to reimbursement therefor except as provided in this Agreement.
Compensation to the Master Servicer. All income and gain realized from any investment of funds in the Collection Account shall be for the benefit of the Master Servicer as additional compensation. Servicing compensation in the form of assumption fees, if any, late payment charges, as collected, if any, or otherwise shall be retained by the Servicer, or the Master Servicer, and shall not be deposited in the related Servicing Account or Collection Account. The Master Servicer shall be required to pay all expenses incurred by it in connection with its activities hereunder and shall not be entitled to reimbursement therefor except as provided in this Agreement. The amount of the aggregate compensation payable as set forth in this Section 4.12 plus the Master Servicing Fee due to the Master Servicer in respect of any Payment Date shall be reduced in accordance with Section 5.12.
