Intent Interpretation Clause Samples

Intent Interpretation. It is the Corporation's intent in creating the Series A Preferred Stock that each share of the Series A Preferred Stock have voting, economic and other rights equal to 100 shares of Common Stock (as adjusted pursuant to Section 6) as if such share had been converted into shares of Common Stock, regardless of whether the Corporation has at any time shares of authorized but unissued Common Stock under its Certificate of Incorporation sufficient to permit such conversion, and this Certificate shall be interpreted consistent with this intent.
Intent Interpretation. It is intended that any amounts payable under this Agreement will either be exempt from or comply with Section 409A of the Internal Review Code of 1986, as amended (“Section 409A”) and all regulations, guidance and other interpretive authority issued thereunder so as not to subject you to payment of any additional tax, penalty or interest imposed under Section 409A, and this Agreement will be interpreted on a basis consistent with such intent.
