Common use of INTELLECTUAL PROPERTY INDEMNIFICATION BY CUSTOMER Clause in Contracts

INTELLECTUAL PROPERTY INDEMNIFICATION BY CUSTOMER. Customer shall defend, indemnify and hold Flextronics harmless against any and all Losses, arising directly or indirectly as a result or, or relating to, any claim against Flextronics asserting a violation of any Intellectual Property Right resulting from or arising out of Flextronics' supply to Customer of the Products and Flextronics performance of services under this Agreement provided that such a claim arises directly and necessarily from compliance by Flextronics with the Manufacturing Specifications.
