Integrity take, within a reasonable timeframe, appropriate measures in respect of any member of its board of directors who has been convicted by a final and irrevocable court ruling of a Criminal Offence perpetrated in the course of the exercise of his/her professional duties, in order to ensure that such member is excluded from any Borrower’s activity in relation to the Loan or the Project
Integrity. If Lottery, acting in good faith and fair dealing, reasonably believes that Retailer may pose a threat to the actual or apparent fairness, integrity, security, or honesty of Lottery, its Games, or its players.
Integrity. Except with respect to demonstration or trial copies, and only with respect to Software Programs as originally delivered by TAVA to its clients and unaltered by third parties, no portion of the Software Products contains any "back door," "time bomb," "Trojan horse," "worm," "drop dead device," "virus" or other software routines or hardware components designed to permit unauthorized access; to disable or erase software, hardware, or data; or to perform any other similar actions.
Integrity. Except with respect to demonstration or trial copies, no portion of the Internally Developed Software or, to Compugraphics's knowledge as of the date of this Agreement, the Third Party Distributed Software contains any "back door," "time bomb," "Trojan horse," "worm," "drop dead device," "virus" or other software routines that disable or erase software, hardware, or data without the consent of the user.
Integrity. Except as set forth on SynQuest Disclosure Schedule 4.15(i) and except with respect to demonstration or trial copies, no portion of any SynQuest Software Program as of the date of this Agreement contains, nor will SynQuest introduce, any “back door,” “time bomb,” “Trojan horse,” “worm,” “drop dead device,” “virus” or other software routines or hardware components designed to permit unauthorized access; to disable or erase software earlier than the end of any applicable license term, hardware, or data; or to perform any other such actions.
Integrity. Each Party covenants that it is committed to unyielding integrity and will act in a manner consistent with the GE Integrity Guide for Suppliers, Contractors and Consultants, a copy of which is available in several languages at the following link: http://www.gesupplier.com/html/SuppliersIntegrityGuide.htm and the Baker Hughes Suppliers’ Code of Conduct, as may be amended or substituted from time to time.
Integrity. This Contract constitutes the entire agreement reached by the Parties with respect to the subject matter of this Contract, and replaces and terminates all the preceding oral and written discussions, negotiations, notices, memorandums of understanding, documents, and agreements among the Parties regarding the subject matter of this Contract. The Parties agree that this Contract should not be amended unless being consented by the Parties in writing.
Integrity. If Lottery, acting in good faith and fair dealing, reasonably believes that Retailer may pose a threat to the actual or apparent fairness, integrity, security, or honesty of Lottery, its Games, or its players.d) Law Changes: If federal or state laws, rules, regulations, or administrative rules are modified, changed, or interpreted in such a way that Lottery Tickets or Shares are no longer available for purchase under this Contract or are no longer eligible for the compensation authorized by this Contract.e) OLCC License: If Retailer is a Video Lottery Game Retailer and Retailer’s OLCC license is suspended, cancelled, or not renewed.f) Convictions: If Retailer, or any Key Person in the Retailer’s Business, is convicted of any crime classified as a felony or Class A misdemeanor during the Contract Term or if Lottery becomes aware of such a conviction that occurred prior to the Effective Date.g) Unlawful Gambling: If the Retailer is found possessing any gray machines or other illegal gambling devices (as defined in ORS 167.117) or is found to be engaged in other unlawful gambling (as defined in ORS Chapter 167), including but not limited to poker tournaments or other card games that do not meet the definition of “social games” under ORS chapter 167.h) Renting Space for Unlawful Gambling Purposes: If Retailer, or any Key Person in Retailer’s Business, violates ORS 91.240, which prohibits renting or letting rooms, space, or premises for unlawful gambling purposes.
Integrity. The appendixes of this Agreement are the undividable part of this Agreement and shall have the same legal effect as this agreement. This Agreement and its appendixes constitute an integral agreement about the events between both parties, and it will replace all the prior discussions, negotiations and agreements.
