Integrator acknowledges that, in the course of selling the Products and in connection with this Agreement and its relationship with Cisco, it may obtain information relating to the Products or to Cisco, which is of a confidential and proprietary nature ("Confidential Information"). Such Confidential Information may include, but is not limited to, trade secrets, know how, inventions, techniques, processes, programs, schematics, software source documents, data, customer lists, financial information, and sales and marketing plans or information which Integrator knows or has reason to know is confidential, proprietary or trade secret information of Cisco, as well as any information posted on CCO. Integrator shall at all times, both during the term of this Agreement and for a period of at least three (3) years after its termination, keep in trust and confidence all such Confidential Information, and shall not use such Confidential Information other than as expressly authorized by Cisco under this Agreement, nor shall Integrator disclose any such Confidential Information to third parties without Cisco's written consent. Integrator further agrees to immediately return to Cisco all Confidential Information (including copies thereof) in Integrator's possession, custody, or control upon termination of this Agreement at any time and for any reason. The obligations of confidentiality shall not apply to information which (a) has entered the public domain except where such entry is the result of Integrator's breach of this Agreement; (b) prior to disclosure hereunder was already rightfully in Integrator's possession; or (c) subsequent to disclosure hereunder is obtained by Integrator on a nonconfidential basis from a third party who has the right to disclose such information to the Integrator.
Integrator agrees to maintain a record of exports, re-exports, and transfers of the Products and Technology for five years and to forward within that time period any required records to Cisco or, at Cisco's request, the U.S. Government. Integrator agrees to permit audits by Cisco or the U.S. Government as required under the regulations to ensure compliance with this Agreement.
Integrator company that will manage the CARRIERS` SYSTEMS with the purpose of (i) allowing USERS to browse the VOICE CONTENT and the VOICE PORTAL, as well as (ii) giving support to USERS in the utilization of the VOICE PORTAL.
Integrator. 8.5 If the Seller/System Integrator holds objection against the claim by the Buyer and End-user, it shall raise such objection in writing within 5 business days upon receiving such claim. Failure of the Seller/System Integrator to raise such objection in writing within the period herein shall be deemed as the Seller/System Integrator's acceptance of the claim by the Buyer and End-user.

Integrator. You may engage a third party we designate to serve as the integrator between you and Google (the “Integrator”). The Integrator may facilitate your application with Google, your enrollment in LSG, your use of LSG and collect fees resulting from your use of LSG. We do not endorse, are not responsible or liable for, and make no representations or warranties of any kind as to the Integrator or any aspect of the services that such Integrator may provide to you, including, without limitation, the manner in which the Integrator handles the LSG Data or any other data you may provide to such Integrator, including, without limitation, any Personal Information (as defined below), or any interaction between you and the Integrator, or any damage or loss caused or alleged to be caused by or in connection with the acts or omissions of the Integrator. Your relationship with the Integrator may be subject to terms and conditions between you and the Integrator. You should review them carefully. You shall resolve any dispute you may have with the Integrator, whether related to fees or otherwise, directly with the Integrator and without our involvement.
Integrator. The End-user shall inform the Seller/System Integrator of the expected date of the open-case check within 3 business days prior to such check. If the Seller/System Integrator fails to participate in the open-case check on the very date of such check, it will be deemed that the said party has willingly rejected the right of involvement in such check, in such case, the Buyer reserves the right to proceed with the open-case check independently. For any shortage, damage or inconsistency with the quality standard set out in Article 8.1 in such event, the Seller/System Integrator shall provide replacement, repair or supplement therefore, provided that such shortage, damage or inconsistency is solely attributable to the Seller/System Integrator's default. All freight, risks and inspection expenses incurred in such replacement, repair or supplement made to the Equipment shall be solely borne by the Seller/System Integrator.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest ("Series shares") of the Trust's LOOMIS SAYLES HIGH INCOME FUND series (the "Series") during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.

  • End User Billing Bell Atlantic will provide Carrier with unrated EMR records for use in the billing of Carrier’s end users for Services. The rating, billing, and settlement of end-user charges for the calls are the responsibility of Carrier.

  • Loop Provisioning Involving Integrated Digital Loop Carriers 2.6.1 Where Talk America has requested an Unbundled Loop and BellSouth uses Integrated Digital Loop Carrier (IDLC) systems to provide the local service to the end user and BellSouth has a suitable alternate facility available, BellSouth will make such alternative facilities available to Talk America. If a suitable alternative facility is not available, then to the extent it is technically feasible, BellSouth will make alternative arrangements available to Talk America (e.g. hairpinning).

  • End User Support You are responsible for providing customer service (if any) to End Users. We do not provide any support or services to End Users unless we have a separate agreement with you or an End User obligating us to provide support or services.

  • End Users Customer will control access to and use of the Products by End Users and is responsible for any use of the Products that does not comply with this Agreement.

  • Manufacturer The producer or provider of Agriculture and Lawn Equipment which possess the minimum quality, reliability, service, and value required by the Department and Customers. May be used interchangeably with Brand Name. Manufacturer’s Suggested Retail Price (MSRP) – The MSRP represents the Manufacturer’s recommended retail selling price, list price, published price, or other usual and customary price that would be paid by the Customer for specific Commodities without the benefit of a Contract resulting from this solicitation. It must be publicly listed, available, and verifiable by the Department. MSRP Credit – The MSRP price of OEM and Non-OEM Options, Parts, Accessory(ies) or Implements that are deducted from the Base Equipment price paid by the Customer if removed from the Base Equipment. MSRP List – The Manufacturer’s Suggested Retail Price List, a collection of MSRPs and related information broken down by specific Commodities. In the priority listed below, only the following are acceptable sources of current and revised MSRPs and MSRP Lists for use under the resulting Contract: • Manufacturer’s Annual U.S. Price Book, • Manufacturer’s official website or dealer software; and • Autodata, Inc. d/b/a Chrome Data’sTM Carbook Pro Fleet Edition.

  • Interface A defined set of transmission facilities that separate Load Zones and that separate the NYCA from adjacent Control Areas. Investor-Owned Transmission Owners.   • Comverge Comverge hereby represents and warrants the following:

  • Network Interface Device 2.7.1 The NID is defined as any means of interconnection of the End User’s customer premises wiring to BellSouth’s distribution plant, such as a cross-connect device used for that purpose. The NID is a single line termination device or that portion of a multiple line termination device required to terminate a single line or circuit at the premises. The NID features two independent chambers or divisions that separate the service provider’s network from the End User’s premises wiring. Each chamber or division contains the appropriate connection points or posts to which the service provider and the End User each make their connections. The NID provides a protective ground connection and is capable of terminating cables such as twisted pair cable.

  • IBM Credit may in its sole discretion from time to time decide the amount of credit IBM Credit extends to Customer, notwithstanding any prior course of conduct between IBM Credit and Customer. IBM Credit may combine all of its advances to make one debt owed by Customer.
