Integration Activities Clause Samples

Integration Activities. (a) Contractor shall develop, implement and participate in activities supportive of a continuum of care that integrates mental health, addiction and physical health interventions in ways that are seamless and whole to the OHP Member. Integration activities may span a continuum ranging from communication to coordination to co-management to co-location to the fully integrated, person- centered health care home. (b) Contractor shall demonstrate involvement in integration activities such as, but not limited to: (i) Facilitation of communication and coordination between physical and behavioral health care providers; (ii) Enhanced communication and coordination between Contractor and FCHPs, DCOs, physical health providers and chemical dependency providers; (iii) Implementation of integrated Prevention, early intervention and wellness activities; (iv) Development of infrastructure support for sharing information, coordinating care and monitoring results; (v) Use of screening tools treatment standards and guidelines that support integration; (vi) Support of a shared culture of integration across prepaid health plans and service delivery systems; and (vii) Implementation of a system of care approach, incorporating models such as the Four Quadrant Clinical Integration Model of the National Council for Community Behavioral Healthcare.

Integration Activities. Except when agreed so in writing signed by both parties, in no event will Xcyte Digital be required to materially modify the Xcyte Digital Services in any way to incorporate any work product of Reseller’s or a third party or otherwise modify or adapt the Xcyte Digital Services for use with any hardware, application, technology, systems or tools provided by any entity other than Xcyte Digital or its affiliates. However, Xcyte Digital Services will provide Reseller any reasonably requested assistance and information to facilitate Reseller’s combination, integrating and bundling relating to the Bundled Services; if that assistance is material, a Professional Services order and fees will apply as mutually agreed.

Integration Activities. Concurrently with the execution of this Agreement, Company agrees to promptly: (a) deliver to Hub documentation for the Company Background IP not previously delivered by Company to Hub; and (b) conduct the integration activities as directed by Hub to integrate the Company technology with the Hub technology, in order to develop Hub-Compliant Devices on the terms set forth herein (the “Integration Activities”).

Integration Activities. As of the Effective Date, TeleTech shall commence, in collaboration with the Founders, the integration of the Motif operations into TeleTech. Certain support functions such as Finance and Accounting (F&A) personnel within Motif may be replaced by similar functions within TeleTech’s F&A organization to take advantage of centers of excellence and economies of scale. TeleTech will make reasonable efforts to evaluate whether there are roles within the TeleTech organization for any displaced Motif employees resulting from such integration and reorganization. All costs to support Motif F&A, when such F&A functions are moved to TeleTech F&A personnel will be charged back to Motif as appropriate without adversely impacting its Adjusted Normalized EBITDA (for clarity, this means that upon a Closing of SHA Transactions under the Shareholders’ Agreement, Adjusted Normalized EBITDA shall be increased by removal of all such charged back costs).
