Integrated System Development Plan Sample Clauses

Integrated System Development Plan. 2.1.1. Tandem and DexCom will collaborate in good faith on the design and specifications of the Integrated System, which designs and specifications, when developed, shall be incorporated into this Agreement as Exhibit B. The Development Plan for the Integrated System, attached hereto as Exhibit C, defines each party’s responsibilities in developing the Integrated System and includes major milestones, and measurable events for the continued development of the Integrated System (the “Development Plan”). The Development Plan may be amended with the Steering Committee’s unanimous written consent, which amendments shall be incorporated into Exhibit C. 2.1.2. Each party will use commercially reasonable efforts to perform its obligations under the Development Plan. Tandem will bear its own Development Expenses in performing its obligations under the Development Plan. Tandem shall pay for DexCom’s actual costs that DexCom incurs as a result of DexCom’s performance of its obligations under the Development Plan as well as any related regulatory costs DexCom incurs pursuant to Section 4.2 hereof; provided that Tandem’s obligations to pay for DexCom’s actual costs shall not exceed $1,000,000 in aggregate.
