Common use of Injunctions, etc Clause in Contracts

Injunctions, etc. No temporary restraining order, preliminary or permanent injunction or other order issued, enacted, promulgated, enforced or entered by any court of competent jurisdiction or other legal or regulatory restraint or prohibition preventing the consummation of either of the Mergers or the other transactions contemplated by this Agreement shall be in effect, nor shall any proceeding brought by an administrative agency or commission or other Governmental Entity, domestic or foreign, seeking any of the foregoing be pending; nor shall there be any action taken, or Laws and Regulations or orders enacted, entered, enforced or deemed applicable to any of the Mergers or the other transactions contemplated by this Agreement, which prevents or prohibits the consummation of either of the Mergers or the other transactions contemplated by this Agreement.
