Injunction, Litigation, etc. No order of any court or governmental agency shall be in effect which restrains or prohibits the consummation of the transactions contemplated by this Agreement and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or governmental agency seeking to prohibit or delay or challenging the validity of any of the transactions contemplated by this Agreement.
Injunction, Litigation, etc. No Actions by any Governmental Authority or any other Person shall have been instituted for the purpose of enjoining or preventing, or which question the validity or legality of, the transactions contemplated hereby and which could reasonably be expected to damage the Companies materially or prevent Buyer from owning and controlling the Companies.
Injunction, Litigation, etc. No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal restraint or prohibition preventing the consummation of the Merger shall be in effect; provided that prior to invoking this condition Buyer shall use its good faith efforts to have any such decree, ruling, injunction or order vacated.

Injunction, Litigation, etc. No statute, rule or regulation or order of any court or Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would limit or adversely affect Buyer’s direct or indirect ownership of the Company or which would limit or adversely affect Buyer’s conduct of any of the businesses of the Company following the Closing, nor shall there be pending or threatened any litigation, suit, action or proceeding by any party which: (i) seeks to restrain or prohibit the transactions contemplated by this Agreement; (ii) challenges the legality or validity of the transactions contemplated by this Agreement; or (iii) seeks damages from Buyer as a result of the transactions contemplated by this Agreement.

Injunction, Litigation, etc. No order or decree of any Authority shall be in effect which restrains or prohibits the consummation of the transactions contemplated hereby, nor shall there be pending (i) any Action by or before any Authority instituted by or on behalf of a shareholder of Buyer (whether in its capacity as a shareholder or otherwise) which is highly likely to succeed and prohibit the closing of the transactions contemplated hereby, or (ii) any other Action by or before any Authority which is reasonably expected to prohibit, restrict or successfully challenge the validity of any of the transactions contemplated hereby.
