So long as any Company Shares issuable upon conversion of Units remain Registrable Shares, the Company shall (subject to Section 1.6 hereof) use its reasonable efforts to keep the Registration Statement pursuant to this paragraph effective until the earlier of (i) such time as Form S-3 (or similar successor form of registration statement) is not available to the Company for registration of the Registrable Shares (the "S-3 Expiration Date") or (ii) the last to occur of (a) the tenth anniversary of the effectiveness thereof or (b) the first date upon which at least ten percent (10%) of the Units issued to the Investors under the terms of the Contribution Agreement are no longer outstanding.
