Initial Pool Balance. Any Trust Student Loans remaining in the Trust as of the end of the Collection Period immediately preceding the Trust Auction Date will be offered for sale by the Indenture Trustee by auction in accordance with the procedure described in the Indenture. This Excess Distribution Certificate shall be construed in accordance with the laws of the State of Delaware, without reference to its conflict of law provisions, and the obligations, rights and remedies of the parties hereunder shall be determined in accordance with such laws.

Initial Pool Balance. All leave donated to the pool shall be converted to the members 40-hour rate and added to the pool balance. The initial pool balance shall be made up of donations kept in the special union time pool. All bargaining unit members who donated the amount required for pool membership shall be made Sick Leave Pool members, as long as they meet all other eligibility requirements. If they do not meet the other requirements, they may become Sick Leave Pool members upon meeting said requirements. Any bargaining unit members who donated less than that required for pool membership may donate the remainder of the required amount to become a pool member.
