Initial Conditions to Fund Closing. Developer and City agree that the Fund Closing is subject to the satisfaction (or waiver by both parties) of the following contingencies and conditions prior to December 31, 2018 (“Initial Fund Closing Condition Date”), and if not so satisfied then either City or Developer may terminate this Agreement without liability to the other.
