Information for Proxy Statement. The information supplied by Buyer for inclusion in the Proxy Statement shall comply in all material respects with the provisions of applicable federal securities laws, except that no representation is made by Buyer with respect to statements made therein based on information furnished by Parent or Company for inclusion in the Proxy Statement. Parent will assist Buyer in preparing the Proxy Statement. In connection therewith, Parent agrees to, among other things, promptly provide Buyer with all information and
