Representations and Warranties of ITEQ True at Effective Date. The representations and warranties of ITEQ herein contained shall be, in all material respects, true as of and at the Effective Date with the same effect as though made at such date, except as affected by transactions permitted or contemplated by this Agreement; ITEQ shall have performed and complied with all covenants required by this Agreement to be performed or complied, in all material respects, with by ITEQ before the Effective Date; and ITEQ shall have delivered to AIX a certificate, dated the Effective Date and signed by its chairman of the board or its president, and by its chief financial or accounting officer, and its secretary, to both such effects.
