Common use of Indemnity by Lessee Clause in Contracts

Indemnity by Lessee. Lessee shall indenmify and hold harmless Lessor and its officers, directors, and its employees from and against any and all claims for damage to the person or property of anyone or any entity arising from Lessee's use of the Building, Common Areas, Presto Facility or Premises or from the conduct of Lessee's business or from any activity, work or things done, permitted or suffered by Lessee or Lessee's employees, agents, suppliers, shippers, customers and invitees in or about the Premises, Building, Common Areas, Presto Facility or elsewhere. Lessee shall further indemnify and hold harmless Lessor from and against any and all claims, costs and expenses arising from any breach or default in the performance of any obligation on Lessee's part to be performed under the terms of this' Lease, or arising from any act or omission of Lessee, or any of Lessee's agents, contractors, employees, suppliers, shippers, customers or invitees, and from and against all costs and attorneys fees, expenses and liabilities incurred by Lessor as a result of any such use, conduct, activity, work, things done, permitted or suffered, breach, default or negligence and in dealing reasonably therewith, including, but not limited to the defense or pursuit of any claim or any action or proceeding involved therein. In case any action or proceeding be brought against Lessor by reason of any such matter, Lessee, upon notice from Lessor, shall defend the same at Lessee's expense by counsel reasonably satisfactory to Lessor and Lessor shall cooperate with Lessee in such defense.

Indemnity by Lessee. Lessee shall indenmify does hereby indemnify and agree to forever save and hold harmless Lessor and its officers, directorsLessor, and its employees Lessor's interest in the Premises and this Lease from and against any and all claims for damage to the person damages, claims, losses, demands, costs, expenses (including attorneys' fees and costs), obligations, liens, liabilities, actions and causes of action which Lessor may suffer or property of anyone incur arising directly or any entity arising indirectly from this Lease, from Lessee's use of the BuildingDemised Premises, Common Areas, Presto Facility or Premises or from the conduct of Lessee's business or business, from any activity, work or things done, permitted or suffered by Lessee or Lessee's employees, agents, suppliers, shippers, customers and invitees in or about the Premises, Buildingfrom Lessee's non-observance or nonperformance of any law, Common Areasordinance or regulations, Presto Facility or elsewhere. Lessee shall further indemnify and hold harmless Lessor from and against any and all claims, costs and expenses arising from any breach or default in the performance negligence of any obligation on Lessee's part to be performed under the terms of this' Lease, or arising from any act or omission of Lessee, Lessee or any of Lessee's agents, contractors, employees, suppliersguests, shippers, customers or licensees and invitees, and but not including any liability resulting from and against all costs and attorneys feesany acts or omissions of negligence or willful misconduct of Lessor, expenses and liabilities incurred by Lessor as a result its agents, employees, or contractors. Lessee further agrees that in case of any such useclaim, conductdemand, activity, work, things done, permitted or suffered, breach, default or negligence and in dealing reasonably therewith, including, but not limited to the defense or pursuit of any claim or any action or proceeding involved therein. In case any action or proceeding be brought against Lessor by reason of any such matterLessor, Lessee, upon notice from Lessor, shall defend the same Lessor at Lessee's expense by counsel reasonably satisfactory to Lessor. In the event Lessee does not provide a defense against any and all such claims, demands, liens, liabilities, actions or causes of action, threatened or actual, then Lessee shall, in addition to the above, pay Lessor the attorneys' fees, legal expenses and costs incurred by Lessor shall in providing such defense, and Lessee agrees to cooperate with Lessee Lessor in such defense, including, but not limited to, the providing of affidavits and testimony upon request of Lessor.

Indemnity by Lessee. In the event Lessee does not provide a defense against any and all such claims, demands, liens, liabilities, actions or causes of action, threatened or actual, then Lessee shall, in addition to the above, pay Lessor the attorneys' fees, legal expenses and costs incurred by Lessor shall in providing such defense, and Lessee agrees to cooperate with Lessee Lessor in such defense, including, but not limited to, the providing of affidavits and testimony upon request of Lessor.

Indemnity by Lessee. Lessee shall indenmify indemnify and hold harmless Lessor and Lessor, its officersofficials, members, directors, agents, representatives, insurers, employees and its employees assigns (collectively hereinafter referred to in this Section 14(a) as “Indemnitees”) against and from and against any and all claims for damage to the person or property of anyone or any entity arising from Lessee's ’s use of the Building, Common Areas, Presto Facility or Premises or from the conduct of Lessee's its business or from any activity, work work, or other things done, permitted or suffered by the Lessee or Lessee's employees, agents, suppliers, shippers, customers and invitees in or about the Premises, Building, Common Areas, Presto Facility or elsewhere. Lessee and shall further indemnify and hold harmless Lessor Indemnitees against and from and against any and all claims, costs and expenses claims arising from any breach or default in the performance of any obligation on Lessee's ’s part to be performed under the terms of this' this Lease, or arising from any act or omission negligence of the Lessee, or any officer, agent, employee, guest, or invitee of Lessee's agents, contractors, employees, suppliers, shippers, customers or invitees, and from and against all costs and attorneys costs, attorney’s fees, expenses and liabilities incurred by Lessor as a result in or about the defense of any such use, conduct, activity, work, things done, permitted or suffered, breach, default or negligence and in dealing reasonably therewith, including, but not limited to the defense or pursuit of any claim or any action or proceeding involved therein. In brought thereon, and in case any action or proceeding be brought against Lessor any Indemnitee by reason of any such matterclaim, Lessee, upon notice from Lessor, shall defend the same at Lessee's ’s sole cost and expense by counsel reasonably satisfactory to any such Indemnitee. Lessee, as a material part of the consideration to Lessor (and therefore Indemnitees) hereby assumes all risk of damage to property, or injury to persons in, upon, or about the Premises, from any cause whatsoever, except as caused by the sole negligence of Lessor. Lessee shall give prompt notice to Lessor in case of casualty or accidents in or to the Premises. In addition to the foregoing (and as not to limit the foregoing), Lessee shall cooperate with indemnify and hold harmless any Indemnitee from and against any and all claims, demands, investigations or civil forfeiture proceedings made or initiated by any federal, state or local authority having jurisdiction over Lessee in and its use of the Premises, regardless of whether such defenseuse is permitted hereunder.

Indemnity by Lessee. Lessee Commencing upon the COMMENCEMENT DATE, or, if earlier, the date upon which LESSEE shall indenmify enter possession of the PREMISES and continuing during the TERM, LESSEE will indemnify LESSOR and save and hold LESSOR harmless Lessor and its officers, directors, and its employees from and against any all actions, claims, damages, demands, expenses, judgments and all claims for damage liabilities in connection with damage, injury or loss to the person or property resulting or occurring or arising wholly or in part by reason of anyone LESSEE'S use or occupancy of the PREMISES or any entity arising from Lessee's use part thereof or LESSEE'S altering, decorating, or improving of the Building, Common Areas, Presto Facility PREMISES or Premises or from the conduct of Lessee's business or from any activity, work or things done, permitted or suffered by Lessee or Lessee's employees, agents, suppliers, shippers, customers and invitees in or about the Premises, Building, Common Areas, Presto Facility or elsewhere. Lessee shall further indemnify and hold harmless Lessor from and against any and all claims, costs and expenses arising from any breach or default in the performance of any obligation on Lessee's part to be performed under the terms of this' Lease, or arising from any act or omission failure to act of LesseeLESSEE, or any of Lessee's LESSEE'S agents, contractors, employeesemployees or servants, suppliersor anyone claiming by, shippersthrough, customers or inviteesunder LESSEE. If LESSOR shall, without fault on its part, be made a party to any litigation commenced by or against LESSEE, LESSEE shall protect and hold LESSOR harmless from and pay all costs, expenses, and reasonable attorney's fees incurred or paid by LESSOR in connection with such litigation. Commencing upon the COMMENCEMENT DATE, or, if earlier, the date upon which LESSEE shall enter possession of the PREMISES and continuing during the TERM, LESSOR will indemnify LESSEE and save and hold LESSEE harmless from and against all costs and attorneys feesactions, expenses claims, damages, demands, expenses, judgments and liabilities incurred by Lessor as a result of any such usein connection with damage, conduct, activity, work, things done, permitted injury or suffered, breach, default loss to person or negligence and property resulting or occurring or arising wholly or in dealing reasonably therewith, including, but not limited to the defense or pursuit of any claim or any action or proceeding involved therein. In case any action or proceeding be brought against Lessor part by reason of LESSOR'S construction, operation or maintenance of the COMMON AREAS or by any act or failure to act of LESSOR, LESSOR'S agents, contractors, employees or servants, or anyone claiming by, through, or under LESSOR. If LESSEE shall, without fault on its part, be made a party to any litigation commenced by or against LESSOR, LESSOR shall protect and hold LESSEE harmless from and pay all costs, expenses, and reasonable attorney's fees incurred or paid by LESSEE in connection with such matter, Lessee, upon notice from Lessor, shall defend the same at Lessee's expense by counsel reasonably satisfactory to Lessor and Lessor shall cooperate with Lessee in such defenselitigation.

Indemnity by Lessee. Lessee shall indenmify indemnify and hold harmless Lessor and its officersagents, directorspartners and lenders, and its employees from and against any and all claims for damage to the person or property of anyone or any entity arising from Lessee's negligence or willful misconduct in connection with its use of the BuildingOffice Building Project, Common Areas, Presto Facility or Premises or from the conduct of Lessee's business or from any activity, work or things done, permitted or suffered by Lessee or Lessee's employees, agents, suppliers, shippers, customers and invitees in or about the Premises, Building, Common Areas, Presto Facility or elsewhere. Lessee shall further indemnify and hold harmless Lessor from and against any and all claims, costs and expenses arising from any breach or default in the performance of any obligation on Lessee's part to be performed under the terms of this' this Lease, or arising from any act negligent or omission willful misconduct of Lessee, or any of Lessee's agents, contractors, employees, suppliers, shippers, customers employees or invitees, invitees and from and against all costs and attorneys reasonable costs, attorney's fees, expenses and liabilities incurred by Lessor as a the result of any such use, conduct, activity, work, things done, permitted or suffered, breach, default or negligence negligence, and in dealing reasonably therewith, including, including but not limited to the defense or pursuit of any claim or any action or proceeding involved therein. In ; and in case any action or proceeding be brought against Lessor by reason of any such matter, Lessee, . Lessee upon notice from Lessor, Lessor shall defend the same at Lessee's expense by counsel reasonably satisfactory to Lessor and Lessor shall cooperate with Lessee in such defense. Lessor need not have first paid any such claim in order to be so indemnified.
