Common use of Indemnity by Buyer Clause in Contracts

Indemnity by Buyer. Buyer shall indemnify and hold Seller harmless from and against, and shall pay to Seller the full amount of, any Claim resulting to Seller from any inaccuracy in any representation or warranty, or any breach of any covenant or agreement, by Buyer contained in this Agreement.

Indemnity by Buyer. Buyer shall indemnify will indemnify, reimburse, defend, and hold harmless Seller harmless and its respective subsidiaries, members, officers and directors from and againstagainst and with respect to any and all Losses suffered, and shall pay incurred or sustained by any of them or to Seller the full amount ofwhich any of them becomes subject, any Claim resulting from, arising out of or relating to Seller from any inaccuracy in any representation or warranty, or any breach of any covenant representation, warranty, covenant, or agreement, by agreement of Buyer contained in this AgreementAgreement or any agreement, certificate, instrument, or document executed and delivered by Buyer pursuant hereto.

Indemnity by Buyer. Buyer Buyer, shall indemnify and hold harmless Seller harmless from and againstagainst any and all demands, claims, recoveries, obligations, losses, damages, deficiencies and liabilities, and all reasonable and related costs, expenses (including reasonable attorneys’ fees), interest and penalties, which any of them shall pay to Seller incur which results from the full amount of, any Claim resulting to Seller from any inaccuracy in any representation or warranty, or any breach of any covenant of the representations, warranties, covenants or agreement, agreements made by Buyer contained in under this Agreement.

Indemnity by Buyer. Buyer shall indemnify and hold harmless Seller harmless from and againstagainst any and all claims, liabilities, losses and shall pay to Seller the full amount of, damages (including reasonable attorneys' fees) incurred by or as a result of any Claim resulting to Seller from any inaccuracy in any breach of warranty or representation or warranty, or any breach of any covenant or agreement, by Buyer contained set forth in this Agreement.

Indemnity by Buyer. Buyer shall indemnify indemnify, defend and hold Seller Sellers, their officers, directors, employees, affiliates, shareholders, members, successors and assigns, harmless from and againstagainst any and all Losses, and shall pay to Seller the full amount arising out of, based upon, or relating to any Claim resulting to Seller from untruth, inaccuracy, misrepresentation, breach or non-fulfillment of any inaccuracy in any representation or representation, warranty, covenant, agreement of undertaking made by Buyer in this Agreement or any breach of any covenant schedule, instrument, document, agreement or agreement, by Buyer contained in certificate delivered pursuant to this Agreement.

Indemnity by Buyer. Buyer shall indemnify and hold Seller harmless ------------------ from and against, and shall pay to Seller the full amount of, any Claim resulting to Seller from Seller, either directly or indirectly, from: (a) any material inaccuracy in any representation or warranty, or any breach of any covenant or agreement, by Buyer contained in this Agreement or in any of the other Acquisition Documents; and (b) any liability for any fee or commission owed to a broker or finder pursuant to an agreement signed by Buyer with respect to the transactions contemplated by this Agreement.
