Indemnification for Actions as Operator. Notwithstanding anything herein or in any agreement executed pursuant hereto or in connection herewith, if ▇▇▇▇▇▇ or any of its Affiliates performs services for Holding LLC or any of Acquisition LLCs then, unless otherwise expressly agreed in writing, neither ▇▇▇▇▇▇ nor its Affiliates shall be liable and Holding LLC and Acquisition LLCs shall indemnify ▇▇▇▇▇▇ and its Affiliates with respect thereto, for any of its acts or omissions except in the event and to the extent of the recklessness or willful and wanton misconduct by ▇▇▇▇▇▇ or such Affiliate.
