Indemnification by Schwab. (a) SCHWAB shall indemnify and hold harmless FIRST GREAT-WEST and the Accounts against any loss, liability, claim, damage or expense (including the reasonable cost of investigating or defending any alleged loss, liability, claim, damage or expense and reasonable counsel fees incurred in connection therewith) arising by reason of any person's acquiring any Contract, which may be based upon any federal or state securities act, or on any other statute or at common law:
