Common use of Indemnification by Licensor Clause in Contracts

Indemnification by Licensor. Licensor shall indemnify, defend and hold harmless Licensee and its Affiliates and Sub-licensees, and each of their respective employees, members, officers, directors and agents (each, a "Licensee Indemnitee") from and against any and all Losses resulting from, arising out of, or relating to: 10.2.1 claims for death of or injury to any person(s) resulting directly from Licensor's negligence or willful misconduct; or

Indemnification by Licensor. Licensor shall indemnify, defend and hold harmless indemnify Licensee and its Affiliates and Sub-licensees, and each of their respective employees, membersdirectors, officers, directors employees, agents and agents (each, a "Licensee Indemnitee") representatives from and against any and all Losses resulting from, Claims arising out ofof Licensor’s gross negligence, willful misconduct or relating to: 10.2.1 claims for death breach of its obligations or injury to any person(s) resulting directly from Licensor's negligence or willful misconduct; orrepresentations under this Agreement.

Indemnification by Licensor. Licensor at all times shall defend, indemnify, defend and hold harmless Licensee and its Affiliates and Sub-licenseesAffiliates, and each of its and their respective employees, membersagents, officerssuccessors, directors and agents (eachassigns, a "Licensee Indemnitee") from and against any all claims, actions, damages and all Losses resulting fromlosses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of, or relating to: 10.2.1 claims for death caused by any breach of or injury to any person(s) resulting directly from Licensor's negligence or willful misconduct; orof the representations, warranties, covenants, undertakings, and agreements made by Licensor hereunder.

Licensor shall indemnify, defend and hold harmless indemnify Licensee and its Affiliates and Sub-licensees, and each of their respective employees, membersdirectors, officers, directors employees, agents and agents (each, a "Licensee Indemnitee") representatives from and against any and all Losses resulting from, Claims arising out ofof Licensor’s gross negligence, willful misconduct or relating to: 10.2.1 claims for death breach of its obligations, representations or injury to any person(s) resulting directly from Licensor's negligence or willful misconduct; orwarranties under this Agreement.

Licensor shall defend, indemnify, defend and hold harmless Licensee Licensee, its Affiliates, and its Affiliates and Sub-licensees, and each of their respective employees, membersdirectors, officers, directors shareholders, employees and agents agents, and their respective heirs, successors and assigns (each, a "Licensee Indemnitee"“Licensor Indemnitees”) from and against any and all Losses resulting fromLiabilities owing to Third Parties suffered or sustained by a Licensee Indemnitee, or to which a Licensee Indemnitee becomes subject, arising out of, or relating to: 10.2.1 claims for death of or injury attributable to Licensor’s breach of any person(s) resulting directly from Licensor's negligence or willful misconduct; orprovisions of this Agreement.

Indemnification by Licensor. Licensor shall indemnify, defend and hold harmless Licensee and each of its Affiliates and Sub-licenseesaffiliates, and each of their respective Licensee’s and its affiliates officers, directors, shareholders, agents and employees, members, officers, directors and agents (each, a "Licensee Indemnitee") harmless from and against any and all Losses resulting fromliability, arising out ofloss, cost, expense (including reasonable attorneys’ fees), damage, or relating to: 10.2.1 claims for death penalty of any kind, on account of or injury to resulting from (i) any person(sbreach by Licensor of its representations and warranties contained in Section 5.1 or (ii) resulting directly from Licensor's negligence or willful misconduct; orany breach of any covenant contained in this Agreement.
