Common use of Indemnification by Jounce Clause in Contracts

Indemnification by Jounce. Jounce shall indemnify, defend and hold harmless Celgene, its Affiliates and its or their respective directors, officers, employees and agents (collectively, the “Celgene Indemnitees”), from and against any and all Third Party Damages to the extent arising out of or relating to, directly or indirectly, from any Claim based upon: 10.2.1 the [***] in connection with [***] under this Agreement; 10.2.2 any [***] under this Agreement; or 10.2.3 the [***] described in this Section 10.2.3; [***].
