Common use of Indemnification by Investor Clause in Contracts

Indemnification by Investor. Investor shall indemnify and reimburse Holding Company for any and all claims, losses, liabilities, damages (including, without limitation, fines, penalties, and criminal or civil judgments and settlements), costs (including, without limitation, court costs) and expenses (including, without limitation, attorneys' and accountants' fees) suffered or incurred by Holding Company or any successors or assigns thereto as a result of, or with respect to: [1] Any breach or inaccuracy of any representation or warranty of Investor set forth in Section 6; [2] Any breach of or noncompliance by Investor with any covenant or agreement of Investor contained in this Agreement; and [3] any and all actions, suits, proceedings, claims, demands, assessments and judgments incident to any of the foregoing.

Indemnification by Investor. Investor shall indemnify and reimburse Holding Company for any and all claims, losses, liabilities, damages (including, without limitation, fines, penalties, and criminal or civil judgments and settlements), costs (including, without limitation, court costs) and expenses (including, without limitation, attorneys' and accountants' fees) suffered or incurred by Holding Company or any successors or assigns thereto as a result of, or with respect to: [1a] Any any breach or inaccuracy of any representation or warranty of Investor set forth in Section 67; [2b] Any any breach of or noncompliance by Investor with any covenant or agreement of Investor contained in this Agreement; and [3c] any and all actions, suits, proceedings, claims, demands, assessments and judgments incident to any of the foregoing.
