Common use of Indemnification by Employer Clause in Contracts

Indemnification by Employer. Employer shall, to the maximum extent permitted by law, indemnify and hold Employee harmless against expenses, including reasonable attorney's fees, judgments, fines, settlements and other amounts actually and reasonably incurred in connection with any proceeding arising by reason of Employee's employment by Employer. Employer shall advance to Employee any expenses incurred in defending any such proceeding to the maximum extent permitted by law.
