Common use of Indemnification by Dalmore Clause in Contracts

Indemnification by Dalmore. Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Indemnification by Dalmore. Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this AgreementDalmore.

Indemnification by Dalmore. Dalmore shall indemnify and hold Client, Client’s 's affiliates and Client’s 's representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Indemnification by Dalmore. Dalmore shall indemnify and hold Client, Client’s 's affiliates and Client’s representatives their respective directors, officers, owners, and agents employees harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon relate to or arise out of (i) a breach of this Agreement by Dalmore Dalmore, or (ii) the wrongful acts or omissions of Dalmore Dalmore; provided that no such indemnity obligation will exist to the extent that any Losses relate to or its failure to comply with any applicable federal, state, arise out of a breach of this Agreement by Client or local laws, regulations, the wrongful acts or codes in the performance omissions of its obligations under this AgreementClient.

Dalmore shall indemnify and hold ClientCompany, ClientCompany’s affiliates and ClientCompany’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon arising from (i) a material breach of this Agreement by Dalmore or (ii) the wrongful acts gross negligence or omissions willful misconduct of Dalmore or Dalmore, including its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Indemnification by Dalmore. Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore Dalmore, Dalmore’s willful misconduct or gross negligence, or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Indemnification by Dalmore. Dalmore shall indemnify indemnify, defend, and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are are, as determined as set forth in Section 9(a) hereof, based upon (i) a material breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.
