Role of Dalmore. Client acknowledges and agrees that Client will rely on Client’s own judgment in using Dalmore’ Services. Dalmore (i) makes no representations with respect to the quality of any investment opportunity or of any issuer; (ii) does not guarantee the performance to and of any Investor; (iii) will make commercially reasonable efforts to perform the Services in accordance with its specifications; (iv) does not guarantee the performance of any party or facility which provides connectivity to Dalmore; and (v) is not an investment adviser, does not provide investment advice and does not recommend securities transactions and any display of data or other information about an investment opportunity, does not constitute a recommendation as to the appropriateness, suitability, legality, validity or profitability of any transaction. Nothing in this Agreement should be construed to create a partnership, joint venture, or employer-employee relationship of any kind.
Role of Dalmore. Client acknowledges and agrees that Dalmore’s sole responsibilities in connection with an Offering are set forth on Exhibit A, and that Dalmore is strictly acting in an administrative and compliance capacity as the broker dealer of record, and is not being engaged by the Client to act as an underwriter or placement agent in connection with the Offering. Dalmore will use commercially reasonable efforts to perform the Services. Dalmore (i) makes no representations with respect to the quality of any investment opportunity; (ii) does not guarantee the performance of any Investor; (iii) is not soliciting or approaching investors in connection with the Offering, (iv) is not an investment adviser, does not provide investment advice and does not recommend securities transactions, (v) in performing the Services is not making any recommendation as to the appropriateness, suitability, legality, validity or profitability of the Offering, and (vi) does not take any responsibility for any documentation created and used in connection with the Offering.
Role of Dalmore. Dalmore (i) makes no representations with respect to the quality of any investment opportunity; (ii) will not act in any discretionary manner with or towards any Investor for which Client provides subscription documents; (iii) does not guarantee the performance of any party or facility which provides connectivity to Dalmore; and (iv) is not an investment adviser, does not provide investment advice and does not recommend securities transactions and any display of data or other information about an investment opportunity, does not constitute a recommendation as to the appropriateness, suitability, legality, validity or profitability of any transaction.
Role of Dalmore. Dalmore (i) will make no representations with respect to the quality or performance of any investment opportunity in the Offering; (ii) does not and will not guarantee the performance of any investment opportunity to any Investor; (iii) will use commercially reasonable efforts to perform the Services in accordance with Client's specifications and this Agreement; (iv) does not guarantee the performance of any party or facility that provides connectivity to Dalmore; and (v) is not an investment adviser, does not provide investment advice to Investors and does not recommend securities transactions, and any display of data or other information about an investment opportunity in the Offering does not constitute a representation to Client as to the appropriateness, suitability, legality, validity or profitability of such investment opportunity. Nothing in this Agreement should be construed to create a partnership, joint venture, or employer-employee relationship of any kind. Dalmore shall have no authority to appoint any person or other entity as an agent, sub-agent, soliciting dealer or the like, of Dalmore or Client, or otherwise engage a third party to provide any of the Services, without the prior written consent of Client.

Role of Dalmore. Client acknowledges and agrees that, except as otherwise provided in the Agreement, including as supplemented or amended from time to time, Dalmore will provide only those functions related to the Offering and the Going Public Show as specifically set forth on the attached Exhibit A in its capacity as a broker of record for the Offering. Client will rely on Client’s own judgment in using Dxxxxxx’s Services. Dalmore (i) makes no representations with respect to the quality of any investment opportunity or of any issuer; (ii) does not guarantee the performance to and of any Investor; (iii) will make commercially reasonable efforts to perform the Services in accordance with its specifications; (iv) does not guarantee the performance of any party or facility which provides connectivity to Dalmore; and (v) is not an investment adviser, does not provide investment advice and does not and will not make any recommendation regarding an investment in the Offering. Client acknowledges that any display of data or other information about the Offering does not constitute a recommendation as to the appropriateness, suitability, legality, validity, or profitability of any investment in the Offering. Nothing in this Agreement should be construed to create a partnership, joint venture, or employer-employee relationship of any kind between Client and Dalmore, and Dxxxxxx disclaims any fiduciary duty to Client.
Role of Dalmore. Client acknowledges and agrees that Xxxxxxx’s sole responsibilities in connection with an Offering are set forth on Exhibit A, in addition to complying with all federal, state and local laws, rules, regulations, codes and statutes, and that Dalmore is strictly acting in an administrative and compliance capacity as the broker dealer of record, and is not being engaged by the Client to act as an underwriter or placement agent in connection with the Offering. Dalmore will use commercially reasonable efforts to perform the Services. Dalmore (i) makes no representations with respect to the quality of any investment opportunity; (ii) does not guarantee the performance of any Investor; (iii) is not soliciting or approaching investors in connection with the Offering, (iv) is not an investment adviser, does not provide investment advice and does not recommend securities transactions, (v) in performing the Services is not making any recommendations to the appropriateness, suitability, legality, validity or profitability of the Offering, and (vi) does not take any responsibility for any documentation created and used in connection with the Offering.

Issuer acknowledges and agrees that (A) Dalmore’s sole responsibilities in connection with the Offering are set forth on Exhibit A, (B) Dalmore is acting solely in an administrative and compliance capacity as the Offering’s broker of record, and (C) Dalmore is not being engaged by Issuer to act as an underwriter or placement agent in connection with the Offering. Dalmore will use commercially reasonable efforts to perform the Services. Dalmore (i) will make no representations with respect to the investment opportunity represented by the Offering; (ii) does not guarantee the performance of any Investor; (iii) is not soliciting or approaching investors in connection with the Offering; (iv) is not an investment adviser, does not provide investment advice and does not recommend securities transactions; (v) is not making any recommendation as to the appropriateness, suitability, legality, validity or profitability of the Offering; and (vi) will not participate in the drafting of, nor take any responsibility for the contents of, any of the Offering Documents.
