Common use of Indebtedness and Liens Clause in Contracts

Indebtedness and Liens. Set forth on Schedule 7.13(a) is a complete and correct list of all Indebtedness of the Borrower and each other Obligor outstanding as of the date hereof that will remain outstanding immediately after the making of the Term Loan and the application of the proceeds therefrom on the Closing Date. Set forth on Schedule 7.13(b) is a complete and correct list of all Indebtedness outstanding on the date hereof that will be repaid and satisfied in full on the Closing Date with proceeds of the Term Loan made on such date. Schedule 7.13(c) is a complete and correct list of all Liens granted by the Borrower and other Obligors with respect to their respective property which are outstanding as of the Closing Date after giving effect to the Transactions (other than the Liens granted pursuant to the Loan Documents).
