Inconsistent Obligations. The execution, delivery and ------------------------ performance of this Agreement, and the consummation of the transactions contemplated herein will not result in a violation of Purchaser's articles of incorporation or bylaws or any Law, or in a breach of, conflict with or default under any indenture, note, mortgage, bond, security agreement, loan agreement, guaranty, pledge, or other instrument, contract, agreement or commitment, or any Order, to which Purchaser is a party or by which any of Purchaser's assets or properties are subject or bound; nor will such actions result in the creation of any Lien on any of Purchaser's assets or properties, or the acceleration or creation of any debt of Purchaser.
