Incentive Distributions Paid in the Form of Redemption Exchange Units. The Special General Partner may elect, at its sole discretion, to reinvest the distribution amounts paid or payable by the Partnership to the Special General Partner, as contemplated by clause (ii) of either Section 5.2.2.4 or Section 5.2.2.5, in exchange for a number of Redemption-Exchange Units issued by the Partnership to the Special General Partner equal to the amount of cash that would otherwise be paid to the Special General Partner divided by the Market Value of a BIP Unit on the date that the distribution is declared.
