Common use of Improvements, Inventions and Innovations Clause in Contracts

Improvements, Inventions and Innovations. All rights in any improvements, inventions, and innovations made by the Owner will vest in the Owner, and the Owner and its affiliates will have the right to exploit such improvements, inventions, and innovations. All rights in any improvements, inventions and innovations made by the Vendor will vest in the Vendor, and the Vendor and its affiliates will have the right to exploit such improvements, inventions and innovations; provided, however, that subject to and in accordance with subsection 11.9 the Owner and its affiliates may be granted certain rights to improvements, inventions or innovations made in connection with the System pursuant to subsection 11.9 by the Vendor (but not by any Subcontractor) in the course and as a result of performing the Work and in which the Vendor owns or possesses any proprietary interest (provided that the immediately preceding proviso of this last sentence of this subsection 27.27 is not subject to subsection 23.2).
