Improper Transfers Void. ANY ATTEMPTED TRANSFER NOT STRICTLY IN ACCORDANCE WITH THE PROVISIONS OF THIS ARTICLE IX WILL BE VOID AB INITIO AND OF NO FORCE OR EFFECT WHATSOEVER, PROVIDED, THAT ANY SUCH ATTEMPTED TRANSFER MAY BE A BREACH OF THIS AGREEMENT, NOTWITHSTANDING THAT SUCH ATTEMPTED TRANSFER IS VOID.
Improper Transfers Void. Any purported transfer of a Membership Interest not inconformity with this Section 10.4 shall be null and void ab initio and of no force or effect whatsoever; provided, that any such attempted transfer may be a breach of this Agreement, notwithstanding that such attempted transfer is void.
