Common use of Implementing Agreement Clause in Contracts

Implementing Agreement. Subject to the terms and conditions hereof, Seller, ▇▇▇▇▇, ▇▇▇▇ and Purchaser shall take all action required of it to fulfill their respective obligations under the terms of this Agreement and shall otherwise use their commercially reasonable efforts to facilitate the consummation of the Contemplated Transactions. Except as otherwise expressly permitted hereby, Seller, ▇▇▇▇▇, ▇▇▇▇ and Purchaser agree that they will not take any action that would have the effect of preventing or impairing the performance of their obligations under this Agreement.
