Implementation Project Plan. Fiserv and Client shall jointly develop and approve a Project Plan for the Implementation Project. The Project Plan shall contain a listing of milestones, tasks, durations and resource names throughout the project lifecycle or applicable project phase as mutually agreed upon by Fiserv and Client. Client and Fiserv shall mutually agree on the initial Project Plan and ownership as defined during the project planning session. Thereafter, the project plan will be updated on a weekly basis. Fiserv and Client shall utilize their commercially reasonable efforts to meet the dates set forth in the Project Plan.
Implementation Project Plan. 2.1 For purposes of this Exhibit, “Implementation Project Plan” means, with respect to each SOW, a document containing: (1) a detailed description of the Implementation Services and the tasks, services, requirements, and deliverables necessary to perform and complete the Implementation Services (the performance and completion of all the Implementation Services shall be referred to herein as the “Implementation”); (2) the review and testing stages for the Services; (3) the applicable Implementation Dates (as defined in Section 4.1); (4) the applicable Critical Milestones (as defined in Section 4.2); (5) the identification and designation of the Supplier Implementation Team (as defined in Section 5.1). For each applicable Implementation, Supplier shall prepare a draft Implementation Project Plan for Company’s review and approval. Supplier acknowledges and agrees that, depending on the magnitude of the scope of the applicable Implementation and the complexity of such Implementation, the Implementation Project Plan may need to be further substantiated, detailed, updated, revised, and refined. Accordingly, after the Company’s approval of an Implementation Project Plan, Company may, upon reasonable advance written notice to Supplier: (a) remove or request reasonable modifications to the Implementation Services; or (b) add, consolidate, bifurcate, remove or otherwise modify tasks, dates, services, in each case as may be reasonably required to complete the Implementation as reasonably determined by Company. Any changes so requested or otherwise agreed to by Company (including any associated changes in costs agreed to by Company) shall be summarized in writing and be deemed incorporated into the Implementation Project Plan.
Implementation Project Plan. Vendor shall develop a detailed Project Plan for the Implementation Phase of the Project that will: a. Provide in reasonable detail, the tasks, activities, services, and deliverables to be performed or provided in the Implementation Phase, including definition of respective roles and responsibilities of the Vendor and the Board: b. Reflect the implementation and deployment strategy and timeframe for the Implementation Phase ( as outlined in subsection 12 above): c. Reflect all other tasks, activities, services, and Deliverables to be performed as part of the Implementation Phase of the Project: d. Identify the affected personnel, systems and resources of the Board and the period of time for which the Project and the Implementation of the System will respectively affect them: and e. Identify staffing requirements for the Implementation Phase of the Project with regard to both Vendor and the Board, including a reasonably detailed assessment of resource loading and resource constraints such that sufficient resources are deployed to ensure that the Project is a success.
