Impediment Clause Samples

The IMPEDIMENT clause defines the procedures and responsibilities when unforeseen obstacles or circumstances prevent a party from fulfilling its contractual obligations. Typically, this clause requires the affected party to promptly notify the other party of the impediment, provide relevant details, and outline any steps being taken to mitigate its effects. Its core practical function is to address situations such as force majeure events or other disruptions, ensuring that both parties understand their rights and obligations when performance becomes impossible or impracticable due to factors beyond their control.
