Common use of HSR Filings Clause in Contracts

HSR Filings. Purchaser, the Company and the Stockholders shall, as promptly as practicable following the execution of this Agreement, and in cooperation with each other, file with the Department of Justice and the Federal Trade Commission the premerger notification forms and any other documents required under the HSR Act, and each shall use its best efforts to obtain earliest termination of all waiting periods under the HSR Act.

HSR Filings. Purchaser, the Company Buyer and the Stockholders Seller shall, as promptly as practicable following the execution of this Agreement, and in cooperation with each other, file with the Department of Justice and the Federal Trade Commission the premerger notification forms and any other documents required under the HSR Act, and each shall use its best reasonable efforts to obtain earliest termination of all waiting periods under the HSR Act. Buyer shall be responsible for and shall pay all fees assessed in connection with the filing of such forms and documents.
