Common use of HSR Filings Clause in Contracts

HSR Filings. In addition to and not in limitation of the Company's covenants contained in SECTION 4.01 above, the Company will (a) take promptly all actions necessary to make the filings required of the Company or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of the CompanySeller's covenants contained in SECTION 4.01 aboveSection 4.01, the Company Seller will (a) take promptly all actions necessary to make the filings required of the Company Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of the Companywithout limiting Purchaser's covenants contained in SECTION 4.01 above5.01, the Company Purchaser will (ai) take promptly all actions necessary to make the filings required of the Company Purchaser or its Affiliates under the HSR Act, (bii) comply at the earliest practicable date with any request for additional information received by the Company Purchaser or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and Act, (ciii) cooperate with Purchaser Seller in connection with PurchaserSeller's filing under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general, and (iv) pay any and all filing fees due and payable in connection therewith.

In addition to and not in limitation of the Company's Purchaser’s covenants contained in SECTION 4.01 Section 5.01 above, the Company Purchaser will (a) take promptly all actions necessary to make the filings required of the Company it or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company it or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser the Seller Parties in connection with Purchaser's Seller Parties’ filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of the Company's without limiting Purchaser’s covenants contained in SECTION 4.01 aboveSection 5.01, the Company Purchaser will (a) take promptly all actions necessary to make the filings required of the Company Purchaser or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company Purchaser or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser Seller in connection with Purchaser's Seller’s filing under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of without limiting the Company's covenants contained in SECTION 4.01 aboveSection 5.1, Stockholder will, and will cause the Company will and its subsidiaries to, (a) take promptly all actions necessary to make the filings required of the Company or its Affiliates Stockholder under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company or its Affiliates Stockholder from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Buyer in connection with PurchaserBuyer's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of the Company's Purchaser Parties’ covenants contained in SECTION 4.01 Section 5.01 above, each of the Company Purchaser Parties will (a) take promptly all actions necessary to make the filings required of the Company it or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company it or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Company in connection with Purchaser's Company’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general. Purchaser shall pay the filing fee, if any, required under the HSR Act with respect to all parties to this Agreement.

In addition to and not in limitation of the Company's its covenants contained in SECTION 4.01 aboveSection 4.01, the Company will (a) take promptly all actions necessary to make the filings required of the Company or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) use all commercially reasonable efforts to cooperate with Purchaser in connection with Purchaser's their filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general; provided that the Company shall not be required to expend any material sum, dispose of any material assets or incur any material liabilities in pursuing any such resolution.

In addition to and not in limitation of without limiting the Company's covenants contained in SECTION 4.01 aboveSection 5.1, the Company will (a) take promptly all actions necessary to make the filings required of the Company or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Omnicom in connection with PurchaserOmnicom's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of the Companywithout limiting Purchaser's covenants contained in SECTION 4.01 Section 7.1 above, the Company Purchaser will (a) take promptly all actions necessary to make the filings required of the Company Purchaser or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Company Purchaser or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser the Sellers in connection with Purchaser's the Sellers' filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In During the Pre-Closing Period, in addition to and not in limitation of the Company's without limiting JAMDAT and Buyer’s covenants contained in SECTION 4.01 aboveSection 7.2(a), the Company each of JAMDAT and Buyer will (ai) take promptly all actions necessary to make the filings required of the Company Buyer or its Affiliates under the HSR Act, (bii) comply at the earliest practicable date with any request for additional information received by the Company JAMDAT and Buyer or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (ciii) cooperate with Purchaser the Company and the Members in connection with Purchaser's the Company’s and the Members’ filing under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or Commission, the Antitrust Division of the Department of Justice or any state attorneys attorney general.
