HSR Act; Regulatory Approvals. The Rehabilitation Court shall have entered the Final Approval Order; the NAPA Dividend shall have occurred; the waiting period (and any extension thereof) applicable to the transactions contemplated hereby under the HSR Act shall have been terminated or shall have expired and all Regulatory Approvals required to complete the transactions contemplated hereby shall have been obtained or made and shall be in full force and effect and all waiting periods required by Law shall have expired or been terminated; and any conditions imposed in connection with any of the foregoing, individually or in the aggregate, shall not have any effect set forth in the last sentence of Section 5.7(e), unless consented to by each Buyer in its sole discretion.
