Common use of Holder Not a Shareholder Clause in Contracts

Holder Not a Shareholder. Prior to the exercise of this Warrant as hereinbefore provided, the Holder shall not be entitled to any of the rights of a shareholder of the Company including, without limitation, the right as a shareholder (i) to vote on or consent to any proposed action of the Company or (ii) to receive (x) dividends or any other distributions made to shareholders, (y) notice of or attend any meetings of shareholders of the Company, or (z) notice of any other proceedings of the Company.

Prior to the exercise of this Warrant as hereinbefore provided, the Holder holder hereof shall not be entitled to any of the rights of a shareholder of the Company including, without limitation, the right as a shareholder to (ia) to vote on or consent to any proposed action of the Company or (iib) to receive (xi) dividends or any other distributions made to shareholders, (yii) notice of or attend any meetings of shareholders of the Company, Company or (ziii) notice of any other proceedings of the Company.
