Common use of Guarantor’s Commitment Clause in Contracts

Guarantor’s Commitment. Guarantor hereby agrees to participate, and MCE hereby accepts Guarantor’s participation, as a guarantor in MCE’s philanthropic guarantee program upon the terms set forth in this Agreement. Notwithstanding any other provision in this agreement or the documents executed by Guarantor in connection herewith or related hereto to the contrary, Guarantor’s maximum commitment and obligation to the program pursuant to this Agreement shall not exceed (i) at any time Guarantor is also party to a Direct Guarantee (a “Direct Guarantor”), $250,000.00 (the “Direct Guarantor Commitment Cap”), and (ii) at any time Guarantor is not also party to a Direct Guarantee (a “Non-Direct Guarantor”), $500,000.00 (the “Non-Direct Guarantor Commitment Cap”, and collectively, as applicable, each Guarantor’s “Commitment Cap”), in the aggregate, for any reason or under any circumstances, except as provided in Section 1.1.2 below.
