Common use of Guarantor Documents Clause in Contracts

Guarantor Documents. The Agent shall have received each of the following documents, all of which shall be satisfactory in form and substance to the Agent and its special counsel and to the Lenders: (1) a certificate of the Secretary or Assistant Secretary of each of the Guarantors, in the form of Exhibit L hereto; (2) a certificate of the President or Financial Officer of each Guarantor, in the form of Exhibit K hereto; (3) a certificate evidencing the good standing of each Guarantor in the jurisdiction of its incorporation; (4) the Guaranty Agreement, duly executed and delivered by each Guarantor; and (5) such other documents and instruments as the Agent or any Lender may reasonably request.
