Common use of Guarantee and Collateral Agreement Clause in Contracts

Guarantee and Collateral Agreement. By executing and delivering this Assumption Agreement, the Additional Grantor, as provided in Section 19.15 of the Guarantee and Collateral Agreement, hereby becomes a party to the Guarantee and Collateral Agreement as a Grantor and Guarantor thereunder with the same force and effect as if originally named therein as a Grantor and Guarantor and, without limiting the generality of the foregoing, hereby expressly assumes all obligations and liabilities of a Grantor and Guarantor thereunder. The information set forth in Annex 1-A hereto is hereby added to the information set forth in the Perfection Certificate or Perfection Supplement most recently delivered pursuant to the terms of the Guarantee and Collateral Agreement. The Additional Grantor hereby represents and warrants that each of the representations and warranties as to the Additional Grantor contained in Section 6 of the Guarantee and Collateral Agreement is true and correct on and as the date hereof (after giving effect to this Assumption Agreement) as if made on and as of such date.

The Additional Grantor hereby represents and warrants that that, as to the Additional Grantor and its Collateral, each of the representations and warranties as to the Additional Grantor contained in Section 6 4 of the Guarantee and Collateral Agreement is true and correct on and as the date hereof (after giving effect to this Assumption Agreement) as if made on and as of such date.

By executing and delivering this Assumption Joinder Agreement, the each Additional GrantorAssignor, as provided in Section 19.15 12.12 of the Guarantee and Collateral Agreement, hereby becomes a party to the Guarantee and Collateral Agreement as a Grantor Guarantor and Guarantor an Assignor thereunder with the same force and effect as if originally named therein as a Grantor Guarantor and Guarantor an Assignor and, without limiting the generality of the foregoing, hereby expressly assumes all obligations and liabilities of a Grantor Guarantor and Guarantor an Assignor thereunder. The information set forth in Annex 1-A the Annexes hereto is hereby added to the information set forth in the Perfection Certificate or Perfection Supplement most recently delivered pursuant Annexes to the terms of the Guarantee and Collateral Agreement. The Each Additional Grantor Assignor hereby represents and warrants that each of the representations and warranties as to the Additional Grantor contained in Section 6 Article 3 of the Guarantee and Collateral Agreement is true and correct on and as the date hereof (after giving effect to this Assumption Joinder Agreement) as if made on and as of such date.
