Common use of Ground Clause in Contracts

Ground. The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer if, in connection with the use of any Asset, the Buyer, its Affiliates and/or their officers are held liable with a reference to the circumstances occurred prior to the transfer of such Asset to the Buyer (the “Indemnified Losses from Liability”).

Ground. The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer if, in connection with the use of any Asset, any persons (including the State Authorities) file claims or suits against the Buyer, its Affiliates and/or their officers are held liable with a reference to the circumstances occurred prior to the transfer of such Asset to the Buyer (the “Indemnified Losses from LiabilityState Authorities’ Claims”).
