Ground. The Ground for Tenant to install, operate, inspect, maintain, improve, repair, replace and remove (i) solar power generating panels and any additional equipment necessary to generate, monitor and transmit solar electrical power (the "Ground Equipment") and (ii) one or more inverters and any additional equipment necessary to generate and transmit solar power (the "Inverters", and collectively with the Ground Equipment, Connecting Equipment, and any other equipment, conduit or personal property installed on or placed upon the Premises and used in connection with the System, the "Equipment"); and
Ground. The area of Land occupied by the Virgin Facilities, which area is described on the attached Exhibit ”B”.
Ground. The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer if, in connection with the use of any Asset, any persons (including the State Authorities) file claims or suits against the Buyer, its Affiliates and/or their officers with a reference to the circumstances occurred prior to the transfer of such Asset to the Buyer (the “Indemnified Losses from State Authorities’ Claims”).

TRANSPORTATION PURCHASER will provide ground transportation with driver(s) for ARTIST, band, and crew to and from interviews, venue, hotel/motel, airport and from any location within reason to obtain equipment or supplies necessary for ARTIST’S performance or as required. Driver must have good knowledge of how to get around the local area and speak fluent English.
Ground. The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer if this Agreement and/or any other Transaction Document is declared invalid, ineffective or unenforceable for any reason except for challenging this Agreement and/or any other Transaction Document by the Buyer or its Affiliates (the “Indemnified Losses from Challenging”) as result of:
Ground. The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer as a result of termination or loss of any part of the Receivables as a result of any third party filing a claim for the title to the Receivables or any part thereof, including, among other things, on the basis of the existing Encumbrance, with a reference to the circumstances occurred prior to the transfer of the Receivables to the Buyer (the “Indemnified Losses from Rights Termination”).

The Sellers shall, at the written request of the Buyer, jointly and severally compensate all Indemnified Losses suffered by the Buyer as a result of unenforceability of the Receivables existing as of the Portfolio Fixing Date on a contractual basis or in court occurring due to inaccuracy of the representations set out in Clause 8.13 (Receivables and agreements with Clients) (the “Indemnified Losses from Unenforceability”).

In the event a “change penalty” applies to the fare, the attendee will be advised as to their liability both verbally and on their ticket MEETING COLLATERAL Xxxxxx Xxxxxx Associates will provide padfolios, bound mini-protocols and CD/ROMs of meeting presentations at a combined cost of $56.75 per person. This service includes: • Contract printer for production of the mini-protocols • Order required junior padfolios with NEUROBIOLOGICAL TECHNOLOGIES, INC. logo • Oversee production/duplication of CD/ROMs following rehearsal • Insert mini-protocols and CD/ROMS into padfolios for presentation to meeting attendees. Pricing is subject to provision of materials in compliance with established deadlines. Should protocol not be provided timely by client and/or presenters, the production cost could be increased by 20%. MTA PRODUCTION Complete Graphic design will be provided by Xxxxxx Xxxxxx. This service includes a template development for a PowerPoint presentation and distribution of the template to presenters. Upon receipt of presentations, they are linked together for smooth speaker transition. Each speaker will have a slightly modified template to distinguish the presentations from each other yet maintain a consistent theme. Further, an on-site AV production director will manage logistics with presenters at rehearsal and will be available to handle any last minute PowerPoint presentation changes. This director will manage all aspects of Presenter Rehearsals, General Session and Break-out meetings. Xxxxxx Xxxxxx will: • furnish fully loaded presentation computer • coordinate all aspects of other equipment necessary for the production of the various meeting sessions, including room set-up, projectors, screens, microphones (lavaliere, audience and/or lectern), staging, lighting, taping (video or audio), remote mouse and laser pointer • provide an on-site computer system with internet access and color printer • provide back –up system for presentations
Ground. TRANSPORTATION AVB will not be liable for the operation, subsequent loss or damage caused by ground transport companies whether booked by AVB or directly by the Charterer.
